I have incorporated many corporations over the years. Now, about the only reason to incorporate rather than form an LLC is that there are some tax preference items for the employees/owners of a corporation not available to the owners of an LLC. Moreover, if one wants to take a company public then it must be formed as a corporation because of SEC rules.
There have to be at least three years of CPA audited financial data to take a company public.
